Contract Review and Negotiation. Nick Day has extensive experience drafting and negotiating Customer Contracts in a variety of industries, including Master Services Agreements, Real Estate and Personal Property Leases, Employment Agreements, Stockholder Agreements, Confidentiality Agreements, Licensing and Consulting Agreements. He has successfully closed contracts with many Fortune 500 customers, and he believes in working as a partner with business leaders to reach mutual goals--usually a signed, revenue-generating customer contract.
Mergers and Acquisitions. From due diligence through drafting and negotiating acquisition documents, advising Boards of Directors and leading closings, Nick Day has significant experience in this area. In addition, if your company is preparing itself for sale, Nick Day can get your corporate governance and legal documents organized, up-to-date and in compliance so that they can pass sophisticated due diligence scrutiny.
Securities. Nick Day has significant in-house and large law firm experience with securities regulation and corporate governance for public companies, having primary responsibility for such matters as in-house counsel at a number of public companies. He has thorough experience with all 1933 and 1934 Act securities matters, Sarbanes-Oxley Act compliance, and associated executive compensation and equity plan compliance matters.
Corporate Governance. Nick Day has served as Corporate Secretary for a number of public companies, and can assist with running Board of Director, Audit Committee, Compensation Committee or Special Committee meetings, drafting charters and minutes, and otherwise supervising compliance initiatives while maintaining a critical eye on risk management, budget and practical business concerns.
Human Resources Support. Employment matters, policies and procedures must be reviewed by counsel, and Nick Day has the experience to assist with these matters in addition to drafting executive employment agreements, non-competition agreements and other essential documents. He can also assist with 401(k) and stock option and equity plan compliance matters.
Start-up Support. Starting a company, partnership or joint venture requires an attorney with a diverse set of skills. Nick Day has extensive experience advising start-up companies, from choosing the right entity, establishing bylaws and stockholders agreements, protecting confidential company data and hiring employees. Nick Day has also represented companies, early stage, and late round investors in financing transactions.
